The following terms of service (these "Terms of Service"), govern your access to and use of the Odoco website, including any content, functionality and services offered on or through www.odoco.com.sg (the "Site") by Oh Dash Pte Ltd. Oh Dash Pte Ltd. and its partners are collectively referred hereto as "Odoco" "we" or "us" and “you” or “user” means you as an user of the Site.
Please read the Terms of Service carefully before you start to use the Site. By using the Site, opening an account or by clicking to accept or agree to the Terms of Service when this option is made available to you, you accept and agree, on behalf of yourself or on behalf of your employer or any other entity (if applicable), to be bound and abide by these Terms of Service and Odoco Payment Terms, found here (“Payment Terms”), which is incorporated herein by reference. You further acknowledge, you have read and understood our Privacy Policy, found here. If you do not agree to these Terms of Service or the Privacy Policy, you must not access or use the Site.
This Site is offered and available to users who are at least 18 years of age and of legal age to form a binding contract. If you are under 18 and at least 13 years of age, you are only permitted to use the Site through an account owned by a parent or legal guardian with their appropriate permission. If you are under 13 you are not permitted to use the Site or the Odoco services. By using the Site, you represent and warrant that you meet all the foregoing eligibility requirements. If you do not meet all the requirements, you must not access or use the Site

The original language of these Terms of Service, as well as all other texts throughout the Site, is English.
Definitions & Interpretation
Customers/Clients are users who use Odoco to search for services.
Merchants/Odocors are users/businesses who list their services on Odoco.
Odocor Dashboard is the main landing page for merchants to manage their profile, schedules, chats, and video appointments.
Odocor Listing Page is where the Merchant list their business, describe their services & packages for clients to see, make an enquiry via chat or book a discovery call.
Odocor Dashboard is the main landing page for Merchants manage their profile, listings, chats and schedules for video calls.
Sessions are the video discovery calls that takes place via Odoco video platform between Clients and Merchant.
Submissions are materials or information that you submit to the Platform and/or provide to Odoco, including but not limited to questions, reviews, comments, and suggestions.
Service Listing Page is where clients can view the video listing of the service provided by Merchant.
Appointment Page is where Clients and Merchants can view upcoming scheduled video calls.
Odoco Message Box is Odoco’s inhouse messaging system where Clients and Merchants communicate and send files to each other.
Users are anyone who uses Odoco platform.
Guidelines to the use of Platform and/or Services: You agree to comply with any and all the guidelines, notices, operating rules and policies, and instructions pertaining to the use of the Services and/or access to the Platform, as well as any amendments to the foregoing, issued by us, from time to time. We reserve the right to revise these guidelines, notices, operating rules and policies, and instructions at any time and you are deemed to be aware of and bound by any changes to the foregoing upon their publication on the Platform.
General terms of use: You agree:
(a) to access and/or always use the Services only for lawful purposes and in a lawful manner and further agree to conduct any activity relating to the Services in good faith; and
(b) to ensure that any information or data you post or cause to appear on the Platform in connection with the Services is accurate and agree to take sole responsibility for such information and data.
Odoco reserves the right to cancel or reject any use of this Services at its sole discretion, including without limitation, where it deems that any transaction is fraudulent or suspects that it is fraudulent.
Service Description: While we endeavour to provide an accurate description of the Services, we do not warrant that such description is accurate, current, or free from error.
Odoco does not provide any Customer’s information to any Merchants for the purpose of reselling, and neither does it authorised any party to resell the same.
Users acknowledge that the materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.
Users restricted activities: You agree and undertake NOT to:
1. impersonate any person or entity or to falsely state or otherwise misrepresent your affiliation with any person or entity;
2. use the Platform or Services for illegal purposes;
3. attempt to gain unauthorized access to or otherwise interfere or disrupt other computer
systems or networks connected to the Platform or Services;
4. post, promote or transmit through the Platform or Services any Prohibited Materials;
5. interfere with another’s utilization and enjoyment of the Platform or Services;
6. use or upload, in any way, any software or material that contains, or which you have reason to suspect that contains, viruses, damaging components, malicious code or harmful components which may impair or corrupt the Platform’s data or damage or interfere with the operation of another Customer’s computer or mobile device or the Platform or Services; and
7. use the Platform or Services other than in conformance with the acceptable use policies of any connected computer networks, any applicable Internet standards and any other applicable laws.
Availability of Platform and Services: We may, from time to time and without giving any reason or prior notice, upgrade, modify, suspend or discontinue the provision of or remove, whether in whole or in part, the Platform or any Services and shall not be liable if any such upgrade, modification, suspension or removal prevents you from accessing the Platform or any part of the Services.
We reserve the right, but shall not be obliged to:
(a) review video consultation (provided by Odocor or client; we do not have access to join sessions nor recordings or past consultations), content or material on the Platform and/or through the Services. We may in our sole and absolute discretion, investigate any violation of the Terms of Use contained herein and may take any action it deems appropriate;
(b) prevent or restrict access of any Customer to the Platform and/or the Services;
(c) report any activity it suspects to be in violation of any applicable law, statute or regulation to the appropriate authorities, and to co-operate with such authorities; and/or
(d) to request any information and data from you in connection with your use of the Services and/or access of the Platform at any time and to exercise our right under this paragraph if you refuse to divulge such information and/or data or if you provide or if we have reasonable grounds to suspect that you have provided inaccurate, misleading or fraudulent information and/or data.
Only registered users may use Odoco’s tools on the platform to view, list and communicate. Registration is free. In registering for an account, you agree to provide us with accurate, complete and updated information and must not create an account for fraudulent or misleading purposes. You are solely responsible for any activity on your account and for maintaining the confidentiality and security of your password. We are not liable for any acts or omissions by you in connection with your account.
We may at any time in our sole and absolute discretion, request that you update your Personal Data or forthwith invalidate the Username and/or Password without giving any reason or prior notice and shall not be liable or responsible for any Losses suffered by or caused by you or arising out of or in connection with or by reason of such request or invalidation. You hereby agree to change your Password from time to time and to keep the Username and Password confidential and shall be responsible for the security of your account and liable for any disclosure or use (whether such use is authorised or not) of the Username and/or Password. You are to notify us immediately if you have knowledge that or have reason for suspecting that the confidentiality of the Username and/or Password has been compromised or if there has been any unauthorised use of the Username and/or Password or if your Personal Data requires updating.
Purported use/access: You agree and acknowledge that any use of the Services and/or any access to the Platform and any information, data or communications referable to your Username and Password (including any access using the Biometric Login) shall be deemed to be, as the case may be:
(a) access to the relevant Platform and/or use of the Services by you; or
(b) information, data, or communications posted, transmitted, and validly issued by you.
Your Username, Password and facial or fingerprint identification are confidential information that cannot be shared with any party. We will always hold and assume that the use of your Username, Password is done by you alone and we shall have the right to conclude that such utilization/activity is conducted or sent by you. You further agree and acknowledge that you shall be bound by and agree to fully indemnify us against any and all Losses attributable to any use of any Services and/ or access to the Platform referable to your Username and Password.
Ownership: The Intellectual Property in and to the Platform and the Materials are owned, licensed to or controlled by us, our licensors, or our service providers. We reserve the right to enforce its Intellectual Property to the fullest extent of the law.
Restricted Use: No part or parts of the Platform, or any Materials may be reproduced, reverse engineered, decompiled, disassembled, separated, altered, distributed, republished, displayed, broadcast, hyperlinked, mirrored, framed, transferred, or transmitted in any manner or by any means or stored in an information retrieval system or installed on any servers, system or equipment without our prior written permission or that of the relevant copyright owners. Permission will only be granted to you to download, print, or use the Materials for personal and non-commercial uses, provided that you do not modify the Materials and that we or the relevant copyright owners retain all copyright and other proprietary notices contained in the Materials.
Trademarks: The Trademarks are registered and unregistered trademarks of us or third parties. Nothing on the Platform and in these Terms of Use shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use (including as a meta tag or as a “hot” link to any other website) any Trademarks displayed on the Services, without our written permission or any other applicable trademark owner.
Submissions by you: You grant us a non-exclusive licence to use the materials or information that you submit to the Platform and/or provide to us, including but not limited to questions, reviews, comments, and suggestions (collectively, “Submissions”). When you post comments or reviews to the Platform, you also grant us the right to use the name that you submit or your Username in connection with such review, comment, or other content. You shall not use a false e-mail address, pretend to be someone other than yourself or otherwise mislead us or third parties as to the origin of any Submissions. We may, but shall not be obligated to, publish, remove, or edit your Submissions.
Consent to Receive e-mails: You consent to and authorise the use by us of any information provided by you (including Personal Data) for the purposes of sending informational and promotional e-mails to you. Your agreement to the provisions of this clause and shall constitute your consent for the purpose of the provisions of any spam control laws (whether in Singapore or elsewhere). You may subsequently opt out of receiving promotional e-mails by clicking on the appropriate hyperlink in any promotional e-mail.
The respective users are solely responsible for the accuracy and contents of their own listings, and for all claims, losses, costs, expenses or damages whatsoever from any person arising (directly or indirectly) from the publication of any listing. Odoco aims to provide accurate information but cannot take any responsibility whatsoever for the accuracy and the contents of any listings, its employees and agents therefore will not be liable for any loss, damage. cost, or expense incurred or arising by reason of any person (including but not limited to claims of negligence, intellectual property infringement and defamation) in connection with any listings. Odoco makes no warranty or representation in respect of, nor do they endorse any product, service or other matter whatsoever appearing in the listings.
Privacy Policy: You acknowledge that you have read and agree to the Privacy Policy at https://www.odoco.com.sg/privacypolicy and consent to our collection, use and disclosure of your Personal Data for the purposes as set out in the Privacy Policy.
Reviews provided by Clients after completing an enquiry or discovery call.
Leaving a Client’s feedback is a basic prerogative of a Buyer. Feedback reviews will not be removed unless there are clear violations of our Terms of Service.
To prevent any misuse of our Review system, all reviews must come from legitimate video call executed exclusively through the Odoco platform from users. Calls arranged, determined to artificially enhance Odocors ratings, or to abuse the Odoco platform with enquiries/discovery calls from additional accounts, will result in a permanent suspension of all related accounts.
Feedback comments given by Clients are publicly displayed on a Odocor’s Listing Page.
Work Samples are the delivered images and videos sent to a Clients via Odoco Message Box. Work Samples are added to a Odocor's Portfolio on their Profile page if the Buyer chooses to publish the Work Sample while providing a public feedback review.
Sellers may not solicit the removal of feedback reviews from their Clients through mutual cancellations.
Termination by us: In our sole and absolute discretion, we may with immediate effect upon giving you notice, terminate your use of the Platform and/or Services and/or disable your Username, Password. We may bar access to the Platform and/or Services (or any part thereof) for any reason whatsoever, including a breach of any of these Terms of Use or where if we believe that you have violated or acted inconsistently with any terms or conditions set out herein, or if in our opinion or the opinion of any regulatory authority, it is not suitable to continue providing the services relating to the Platform.
Termination by you: You may terminate your account by deactivating it via Settings.
Notices from us: All notices or other communications given to you if:
(a) communicated through any print or electronic media as we may select will be deemed to be notified to you on the date of publication or broadcast; or
(b) sent by email or left at your last known contact address will be deemed to be received by you on the day following such posting or on the day when it was so left.
Notices from you: You may only give notice to us in writing sent to our designated address or e-mail address, and we shall be deemed to have received such notice only upon receipt. While we endeavour to respond promptly to notices from you, we cannot guarantee that we will always respond with consistent speed.
Other Modes: Notwithstanding the above clauses, we may from time to time designate other acceptable modes of providing notice (including but not limited to e-mail, SMS, or other forms of electronic communication) and the time or event by which such notice shall be deemed given.
Odoco enables people around the world to enquire, create, share and sell nearly any service they need.
Users should keep to the spirit of friendly, cohesive community, and professional environment while participating in any activity on Odoco. This section relates to the expected conduct users should adhere to while interacting with each other on Odoco.

Users may receive a warning to their account for violations of our Terms of Service or any user misconduct reported to us. A warning will be sent to the user's email address. Warnings do not limit account activity, but can lead to your account losing Odocor’s statuses or becoming permanently disabled based on the severity of the violation.
Non-Permitted Usage
Adult Services & Pornography - Odoco does not allow any exchange of adult oriented or pornographic materials and services.
Inappropriate Behaviour & Language - Communication on Odoco should be friendly, constructive, and professional. Odoco condemns bullying, harassment, and hate speech towards others. We allow users a medium for which messages are exchanged between individuals, a system to rate orders, and to engage on and Social Media pages.
Phishing and Spam - Members’ security is a top priority. Any attempts to publish or send malicious content with the intent to compromise another member’s account or computer environment is strictly prohibited. Please respect our members privacy by not contacting them with offers, questions, suggestions or anything which is not directly related to their Consultations or orders.
Privacy & Identity - You may not publish or post other people's private and confidential information. Any exchange of personal information required for the completion of a service must be provided in Odoco Message Box. Odocors further confirm that whatever information they receive from the Client, which is not public domain, shall not be used for any purpose whatsoever other than for the delivery of the work to the Buyer. Any users who engage and communicate off Odoco Platform’s will not be protected by our Terms of Service.
Authentic Odoco Profile - You may not create a false identity on Odoco, misrepresent your identity, create a Odoco profile for anyone other than yourself (a real person), or use or attempt to use another user’s account or information; Your profile information, including your description, skills, location, etc., while may be kept anonymous, must be accurate and complete and may not be misleading, illegal, offensive or otherwise harmful. Odoco reserves the right to require users to go through a verification process in order to use the Site (whether by using ID, phone, camera, etc.).
Intellectual Property Claims - Odoco will respond to clear and complete notices of alleged copyright or trademark infringement, and/or violation of third party’s terms of service.
Fraud / Unlawful Use - You may not use Odoco for any unlawful purposes or to conduct illegal activities.
Abuse and Spam
Multiple Accounts - To prevent fraud and abuse, users are limited to one active Odoco account. Any additional account determined to be created to circumvent guidelines, promote competitive advantages, or mislead the Odoco community will be disabled. Mass account creation may result in disabling of all related accounts. Note: any violations of Odoco’s Terms of Service is a cause for permanent suspension of all accounts.
Targeted Abuse - We do not tolerate users who engage in targeted abuse or harassment towards other users on Odoco. This includes creating new multiple accounts to harass members through our message or ordering system.
Selling Accounts - You may not buy or sell Odoco accounts.
Confidentiality
Odocors/Merchants should recognise that there might be a need for Clients to disclose certain confidential information to be used by Odocors for the purpose of delivering the call, and to protect such confidential information from unauthorised use and disclosure. Therefore, Odocors agree to treat any information received from Clients as highly sensitive, top secret and classified material. Without derogating from the generality of the above, Odocors specifically agree to (i) maintain all such information in strict confidence; (ii) not disclose the information to any third parties; (iii) not use the information for any purpose except for delivering the ordered work; and (vi) not to copy or reproduce any of the information without the Client’s permission.
User Generated Content refers to the content added by users as opposed to content created by the Site. All content uploaded to Odoco by our users (Clients and Odocors) is User Generated Content. Odoco does not check user uploaded/created content for appropriateness, violations of copyright, trademarks, other rights or violations and the user uploading/creating such content shall be solely responsible for it and the consequences of using, disclosing, storing, or transmitting it. By uploading to, or creating content on, the Odoco platform, you represent and warrant that you own or have obtained all rights, licenses, consents, permissions, power and/or authority, necessary to use and/or upload such content and that such content or the use thereof in the Site does not and shall not (a) infringe or violate any intellectual property, proprietary or privacy, data protection or publicity rights of any third party; (b) violate any applicable local, state, federal and international laws, regulations and conventions; and/or (c) violate any of your or third party’s policies and/or terms of service. We invite everyone to report violations together with proof of ownership as appropriate. Reported violating content may be removed or disabled.
Furthermore, Odoco is not responsible for the content, quality or the level of service provided by the Odocors. We provide no warranty with respect to the enquiries and calls, their delivery, any communications between Clients and Odocors. We encourage users to take advantage of our rating system, our community and common sense in choosing appropriate services.
By offering a service, the Odocor/Merchants undertakes that he/she has sufficient permissions, rights and/or licenses to provide, sell or resell the service that is offered on Odoco.
